Introduction of the Course
Securities Law is about the laws and rules regarding securities issuance, trading, market regulation and legal liabilities, which are getting critical in China’s market economy.
The following topics will be covered in this class:
Introduction of Securities Law, including, Introduction of Securities Market, Relationship among Securities Law, Corporate Law and Corporate Governance, Principles and Scope of Securities Law, Securities Regulation System and Self-Regulation Organization.
Definition of “Security”. Introduction will be given to varieties of securities in the capital market of China, including, stocks, debentures, investment fund units and derivatives.
Issuance of Securities, including, General Provisions of Securities Issuance, Enterprise Restructuring for Issuance and Listing, Approval Procedure of IPO, Sponsoring Public Offering, Issuance Examination Committee of CSRC, Price Inquiry of IPO, Requirements of Secondary Offering, Procedure of Secondary Offering, Theory and Principles of Information Disclosure, Information Disclosure of Securities Issuance, Continuous Information Disclosure, Negative Duty of Information Disclosure, Lawyers’ Legal Responsibility in Securities Issuance.
Securities Trading, including, Structure and Categories of Securities Trading Market, Transfer of Shares Public Offered but not Listed, Transfer of Listed Companies’ shares, Legal Issues regarding Growth Enterprise Market (GEM), Stock Exchange’s Regulation of Listed Companies, Suspension of Stock Listing, Relisting, Termination of Listing, Stock Exchange’s Regulation of Securities Trading, Stock Exchange’s Regulation of Members, Regulation of Securities Firms, Securities Registration and Clearing System.
Securities Legal Liability, including but not limited to, Short-swing Transaction, Legal Liability of Insider Trading, Legal Liability of Market Manipulation.
